Position Open:

Transactional Attorney will report directly to and work under the supervision of a Senior Associate and/or Partner. They will support the transactional department, Senior Associates, and Partners by maintaining client relationships, drafting documents, performing legal research, and managing transactions.

 

Duties and Responsibilities:

Research

Conduct legal research, using both Westlaw and Firm resources.

Summarize legal research and present to Client when appropriate.

Entity Formation

Complete the Firm’s entity formation checklist for each entity

Work with Legal Assistant to prepare entity formation documents including Certificates of Formation, Company Agreements, Minutes, etc. and review before presenting to Client.

Explain complex entity structures to Clients

Review and approve Comptroller filings

Mergers and Acquisitions

Support the Senior Associates and Partners in complex Mergers and Acquisitions

Manage small Mergers and Acquisitions

Draft and Manage Due Diligence

Draft acquisition documents including Letters of Intent, Asset Purchase Agreement, Stock Purchase Agreements and Membership Interest Agreements.

Draft Promissory Notes and calculate payment schedules.

Draft Security Agreements and UCC statements if appropriate

Real Estate

Draft Leases favoring the Client, whether landlord or tenant.

Review and revise Client-provided Leases favoring the Client

Draft real estate purchasing documents.

Review and understand Title Insurance Commitments.

Draft objections to Title Insurance Commitments.

Draft Deeds for transfer of property

Draft Development documents

Manage small real estate transactions

Contracts

Draft various Contracts favoring client

Review and revise client-provided contracts

Employment

Draft Employment Hiring and Termination documents

Respond to Texas Workforce Commission Filings

Draft Employee Handbooks

Negotiate Severance Agreements and Employment Contracts

Advise Clients on best employment practices

Respond to administrative investigations (e.g., EEOC and DOL)

HOA

Advise HOA’s on legal questions

Draft HOA documents

Draft form Violation and Collection Letters

Firm/Department Policies

Attend and actively participate in weekly team and transactional meetings

Meet with prospective clients and maintain a strong closing rate for firm appropriate matters.

Maintain and update transactional task list throughout the week.

Record daily time entries accurately and consistently, billing a minimum average of 110 hours per month over each six-month period.

Respond to client and firm communications, including calls and emails, within four hours.

Collaborate with your supervisor to establish and review specific goals and priorities every six months.

 

Expectations:

Produce high-quality, accurate written work by drafting, proofreading, and reviewing all correspondence and documents carefully, ensuring minimal revisions are required.

Advise clients by clearly explaining key document provisions, actively listening to their needs, and ensuring needs are met.

Manage assignments professionally by meeting deadlines, communicating delays, and collaborating with Senior Associates Partners, and Paralegals to adjust timelines when necessary.

Update team of project status at weekly meetings, provide work to Paralegal with adequate lead time, and contribute to overall team productivity.

Demonstrate professionalism by maintaining regular office hours, providing advance notice of absences or leave, and minimizing disruption to team operations.

Work collaboratively and respectfully, share ideas, assist colleagues when appropriate, pursue internal/external presentations opportunities, and respond constructively to feedback.

Maintain strict confidentiality by always safeguarding firm technology and client information and refraining from discussing client matters outside the firm.

Monitor progress toward individual and team goals and adjust as needed to ensure successful outcomes.

Proficient with Microsoft Office Suite.

Bilingual (Spanish/English) preferred

 

Education and Experience

Juris Doctor Degree

Texas Bar Admission

Minimum 5 years of experience as a transactional attorney.

 

Physical Requirements:

Prolonged periods of sitting at a desk and working on a computer.

Ability to lift and move up to 20 lbs.
