We are seeking an experienced Paralegal to support the drafting, review, and administration of commercial agreements, with a primary focus on Non‑Disclosure Agreements (NDAs). This role will work closely with attorneys, internal business teams, and external parties to facilitate efficient contracting processes while ensuring agreements align with company standards and legal requirements. The ideal candidate brings strong contract drafting experience, sound judgment, and the ability to manage agreement workflows and documentation using SharePoint or similar document management platforms.
Key Responsibilities
Draft, revise, and manage a variety of commercial agreements, including Non‑Disclosure Agreements, confidentiality addenda, and other routine business contracts
Serve as the primary point of contact for NDA drafting and review, using established templates and playbooks
Review third‑party agreements to identify non‑standard terms, risks, and deviations from company standards, escalating issues to counsel as appropriate
Communicate directly with internal global business teams to understand contracting needs, explain standard terms, and support timely execution of agreements
Coordinate with external parties, including counterparties and their representatives, regarding agreement drafting, revisions, and execution logistics
Partner with internal stakeholders to understand business objectives and ensure agreements appropriately reflect those objectives
Coordinate contract execution and maintain accurate records of executed agreements and related documentation
Utilize SharePoint to organize, store, track, and retrieve contracts and supporting materials in accordance with internal legal procedures
Assist attorneys with contract research, redlining, and due diligence activities
Support the continuous improvement of contract templates, playbooks, and contracting processes
Ensure compliance with internal legal policies, confidentiality requirements, and record‑keeping standards
Required Qualifications
Minimum of 5 years of relevant paralegal experience, with substantial experience drafting and reviewing commercial agreements, including NDAs
Paralegal degree or a four‑year bachelor’s degree with a paralegal certificate from an accredited institution
Demonstrated experience reviewing, drafting, negotiating and managing large volumes of NDAs
Familiarity with legal and compliance considerations relating to confidential information, data privacy and deal documentation
Ability to interact and communicate effectively with clients and internal stakeholders
Must be detail-oriented with effective organizational skills as well as able to prioritize multiple assignments while working under pressure to meet important deadlines
Proficiency with various software programs including Microsoft Suite (Outlook, Word, Excel) and SharePoint or similar document management systems.
Preferred Qualifications
Experience supporting an in‑house legal department or corporate contracting function
Familiarity with contract lifecycle management (CLM) systems integrated with SharePoint
Experience working with cross‑functional teams such as sales, procurement, R&D, or business development
Experience developing sharepoint workflows and using power automate.
