This is a senior, hands-on Legal & Secretarial role supporting a regulated investment management platform. The role is responsible for end-to-end statutory compliance, corporate governance, and core legal matters, while working closely with senior leadership, regulators, auditors, and external counsel.

Key Responsibilities
Secretarial & Governance
• Own end-to-end compliance under the Companies Act, SEBI regulations, FEMA, and RBI guidelines.
• Manage all statutory and regulatory filings with MCA, ROC, SEBI, and RBI.
• Independently handle Board, Committee, and General Meetings, including agenda preparation, minutes, and follow-ups.
• Provide corporate governance guidance to the Board and senior management.
• Support corporate restructuring, capital actions, and M&A-related secretarial work.
• Act as the primary point of contact for regulators, auditors, and compliance stakeholders.
Legal Responsibilities
• Draft, review, and negotiate Investment Management Agreements (IMAs), Trust Deeds, vendor agreements, and commercial contracts.
• Manage litigation and disputes in coordination with external legal counsel.
• Provide legal support for investor queries, due diligence questionnaires (DDQs), and RFPs.
• Deliver practical, business-aligned legal advice to investment, operations, and client-facing teams.
• Ensure legal risk mitigation while enabling smooth business execution.
Ideal Candidate Profile
• 10+ years of post-qualification experience.
• Strong combination of Company Secretarial and core legal experience.
• Prior experience in asset management, PMS, AIF, NBFC, or financial services environments.
• Comfortable engaging with senior leadership, regulators, and external stakeholders.
• Highly hands-on with the ability to independently own responsibilities rather than act purely in an advisory capacity.
