Responsibilities / Tasks
• Scope of Role &
Responsibilities:
Company Secretarial (15% of scope)
• Support at Board Meetings, Annual General Meeting, Extraordinary General Meeting and Corporate Social Responsibility (CSR) meetings.
• Maintenance of statutory registers.
• Filing of necessary forms with Registrar of Companies.
Corporate & Commercial (85% of scope)
• Provide commercial and practical legal advice and support and advise on day-to-day commercial matters including issues arising with customers, vendors and other partners
• Draft, review and negotiate a range of commercial contracts including sales and procurement contracts in accordance with GEA internal requirements and local laws, agreements with third parties such as agents and distributors.
• Review, update and create precedent agreements and legal processes as need and appropriate
• To advise and support dispute resolution processes
• Provide training to the business on applicable legal and contractual issues.
Role will require flexibility to travel (around 25%)
• Academic Qualifications
• Company Secretary (ICSI).
• LLB (Bachelor of Law) (5-year law degree post 12th year qualification i.e. either a BA LLB or a BBA LLB qualification) (preferably from accredited & recognised universities such as national law universities in India). (Grades preferably either above 75%, O(Outstanding), A+ or A).
• LLM (Masters of Law) (preferable but not mandatory).
Your Profile / Qualifications
• Experience Requirements
• At least 10+ years of relevant post qualification experience combining corporate, commercial, disputes and company secretarial experience.
• Solid law firm or in-house experience in a regional or global company with a focus on commercial topics.
• Candidate must demonstrate the following qualities:
• A high level of integrity and management skills – this is a prerequisite
• Experience and capability of supporting and serving as a trusted legal and business advisor to the business. Professional and commercial approach to problem solving and strong team ethic is essential
• Direct experience in strategic and complex commercial transactions is an important prerequisite
• Highly self-motivated with a positive and approachable attitude
• Excellent communication and relationship building skills, both written and oral, with the ability to write concisely with precision and clarity
• Ability and desire to work collaboratively and autonomously
• Ability to work well under pressure whilst continuing to work in an orderly and organized manner
• Ability to navigate complex issues
