In-House Corporate Lawyer

The Position:

Seeking a top performing mid-senior level attorney for private credit, debt and equity finance, and other corporate transactional work.  Extensive transactional experience with middle‑market private debt and equity transactions (with a focus on lender or sponsor representation) is strongly preferred.  Candidate must have excellent drafting, negotiation, issue spotting, and analytical skills.

Desired Skills and Experience:

The ideal candidate will have a JD degree from a top accredited U.S. law school with strong academic credentials and a minimum of 5 years of relevant experience at a top-tier law firm or in-house legal department:

Structuring, negotiating and executing a broad array of financing and buyout transactions, including middle-market sponsor-led acquisition financings (loans and equity);

Leading and advising deal teams through all phases of the transaction lifecycle, including origination, documentation, negotiation, closings, amendments, restructurings and exits;

Drafting, reviewing and negotiating early-stage loan and equity documentation, including term sheets, commitment letters, IOIs and LOIs.

Drafting, reviewing and negotiating complex loan and security documentation, such as credit agreements, security documents, intercreditor and subordination agreements, guaranties, and other transactional documents;

Advising on multi-lender loan syndications, liability management transactions (LMEs), unitranche/FOLO structures, and other syndicated loan market terms;

Leading and advising deal teams on corporate governance and corporate transactional matters relating to Prospect’s controlled portfolio companies and other portfolio investments, including buyouts, mergers & acquisitions, asset dispositions, workouts, and restructurings;

Managing multiple transactional matters simultaneously in a fast-paced environment;

Coordinate and supervise outside counsel, including management of legal costs; and

Special projects

The anticipated base salary range for this position is $250,000 - $300,000 plus an annual discretionary performance-based bonus. Actual pay may be adjusted based on experience and performance.
