The purpose:
The Director (SMF3) will be a key member of the executive team, responsible for the strategic leadership, governance, and operational oversight of the firm. This includes instigating strategies with the aim of achieving business growth, ensuring compliance with all applicable regulatory requirements, including MiFID II, MiFIDPRU, and the FCA’s Senior Managers and Certification Regime (SM&CR). The Director will work closely with other senior managers to ensure that the firm operates in a financially prudent, compliant, and customer-focused manner.
1. Key Responsibilities:
1.1 Strategic Leadership and Direction:
Lead and contribute to the development and execution of the firm’s overall strategy, ensuring alignment with regulatory obligations and business objectives.
Lead and support the Board in setting and achieving long-term goals, including growth and sustainability within MiFIDPRU constraints.
1.2 Governance and Regulatory Compliance:
Oversee the firm’s governance framework, ensuring that it complies with MiFID II, MiFIDPRU, and FCA regulations.
Act as a key point of contact with the FCA, ensuring that the firm meets all FCA reporting requirements and adheres to the Senior Managers and Certification Regime.
Implement and ensure ongoing compliance with the firm's Internal Capital Adequacy and Risk Assessment (ICARA) process, ensuring that risks are properly assessed and mitigated.
Ensure compliance with prudential rules for capital, liquidity, and risk management under the MiFIDPRU rules.
1.3 Risk Management:
Lead and support the board in implementing an effective risk management framework, ensuring the firm identifies and manages its risks appropriately.
Ensure the firm meets its obligations under the SM&CR, including individual and collective responsibility for risk management, conduct, and culture.
1.4 Financial Oversight and Prudential Requirements:
Oversee the financial health of the firm, ensuring compliance with capital and liquidity requirements under MiFIDPRU.
Review the firm's financial performance and reporting to ensure robust financial control mechanisms are in place.
Ensure the firm’s capital and financial resources are appropriate to support its business activities and regulatory obligations.
1.5 Senior Management Responsibilities:
Collaborate with other Senior Management Functions (SMFs) to ensure effective decision-making and accountability across the firm.
Maintain a clear and transparent division of responsibilities with other directors and senior managers, ensuring that each SMF has clearly defined duties and controls.
Directly manage, supervise, or oversee any business led regulatory approval processes.
1.6 Stakeholder Engagement:
Act as a liaison between the firm, external stakeholders, regulators, and clients to ensure trust and confidence in the firm's management and operations.
Attend and contribute to board meetings, strategy discussions, and performance reviews.
1.7 Culture and Conduct:
Promote a culture of good governance, ethics, and compliance throughout the firm.
Foster a customer-centric culture, ensuring the firm acts in clients’ best interests and complies with conduct regulations.
2. Key Requirements:
2.1 Experience:
Proven recent experience in a Director or senior leadership role in a MiFIDPRU firm or financial services company regulated by the FCA.
Strong business development experience in CFD brokerage or other online financial derivatives trading businesses
Comprehensive understanding of MiFID II, MiFIDPRU, FCA requirements, and the Senior Managers and Certification Regime (SM&CR).
Experience with capital adequacy, risk management, compliance, and financial governance within an investment firm.
Prior experience interacting with regulatory bodies, particularly the FCA, and handling
regulatory submissions and reporting.
2.2 Knowledge:
Strong CFD product knowledge and market insights
In-depth knowledge of the MiFIDPRU rules, and associated prudential and conduct obligations.
Strong understanding of risk management practices, particularly related to investment firms, capital adequacy, liquidity management, and ICARA processes.
Knowledge of the FCA’s Senior Managers and Certification Regime (SM&CR), including fit and proper standards, duty of responsibility, and the reasonable steps framework.
2.3 Skills and Competencies:
Strong leadership and decision-making capabilities, with the ability to influence at the highest levels.
Excellent communication and stakeholder management skills.
High level of integrity and ethical judgment, in line with FCA expectations.
Ability to balance commercial objectives with regulatory compliance and risk management.
Exceptional organizational and problem-solving skills, with the ability to manage competing priorities.
2.4 FCA Fitness and Propriety:
Must meet the FCA’s “fit and proper” standards, which include assessments of honesty, integrity, competence, capability, and financial soundness.
Demonstrate appropriate conduct, integrity, and ethical standards to comply with SM&CR responsibilities.
3. Regulatory Responsibilities:
As an SMF3 (Executive Director), you will be held accountable for:
Taking reasonable steps to ensure the firm’s business is controlled effectively and adheres to all applicable regulations.
Acting with due skill, care, and diligence in your responsibilities, ensuring the firm’s compliance with MiFIDPRU rules.
Maintaining effective oversight of the firm’s senior management and ensuring that risks are managed prudently and effectively.
4. Professional & Educational Requirements:
Bachelor’s degree in Finance, Economics, Law, Business, or a related field. Advanced degree (e.g., MBA, CFA, or CISI qualification) is a plus.
Must have fairly recent experience of serving as a company officer/senior manager approved by the FCA (SMF1, SMF3, or SMF16/SMF17)
Commercially minded and entrepreneurial spirited

Must already have the right to work in the United Kingdom
