Job Description

 

• Assist in preparing the annual compliance plan.

• Develop and implement an integrated compliance framework, alongside developing, implementing, and updating a compliance encyclopedia that includes regulations, circulars, directives, and related orders.

• Contribute to guiding, supporting, and following up with department managers to ensure their departments comply with all applicable laws, regulations, and other compliance requirements.

• Perform compliance program monitoring activities within the company to ensure adherence to all requirements.

• Assist in preparing and reviewing policies and procedures for compliance management and related departments.

• Contribute to updating existing or new documents and policies and ensure their approval by the relevant authorities.

• Assist in preparing training materials and delivering periodic training sessions on governance and compliance, promoting a culture of compliance and reporting throughout the company.

• Conduct investigations related to prohibited violations or non-compliance, as directed.

• Assist in preparing accurate and timely reports on non-compliance risks, providing recommendations on how to manage these risks.

• Conduct independent research and track changes in compliance requirements based on the company’s internal and external environment.

• Coordinate with department managers to understand, assess, and document risks arising from non-compliance.

• Maintain continuous coordination and communication with regulatory and supervisory bodies to obtain and respond to regulations, circulars, directives, and orders, as well as issues and developments in laws, legislation, and applicable regulations, documenting them in the compliance encyclopedia.

• Assist in preparing and updating the Code of Conduct and work ethics policies in line with sound governance principles.

• Submit reports on whistleblowing cases in accordance with the company’s reporting policy, ensuring compliance with procedures and decisions for the applicable measures.

• Communicate with company departments and send relevant regulations, circulars, directives, and orders issued by external or internal regulatory and legislative bodies, the executive management, or the Board of Directors and its committees, and follow up on their implementation.

• Assist in developing and updating a database containing all regulations, circulars, directives, and orders issued by external or internal regulatory and legislative bodies, the executive management, or the Board of Directors and its committees.

• Assist in communicating with subsidiaries and department managers to collect required data and continuously follow up with them.

• Assist in preparing, developing, and reviewing reports for regulatory, legislative, and supervisory bodies, as well as internal reports when needed.

• Assist in preparing and reviewing company announcements and fulfilling disclosure requirements for the relevant regulatory and legislative authorities.

• Assist in reviewing and updating the articles of incorporation for subsidiaries and the company’s authority matrix.

• Assist in preparing and updating related-party registers and monitoring transactions with related parties, verifying them according to regulations.

• Any other tasks related to the duties of the Governance and Compliance Department.

• Effective communication with the team.

• Proficient use of Microsoft Office programs.

• English language proficiency, both spoken and written.

• Bachelor’s degree in Law, Finance, Business Administration, or any other related field.

• 1–2 years of practical experience in governance and compliance.

• Disclosure certificate from the Financial Academy.
