Deputy CLO

Job Overview:
Dialectic, a crypto-native organization of builders and capital allocators, is seeking a Deputy Chief Legal Officer (Deputy CLO) with senior-level legal expertise to contribute to the day-to-day operations and management of the firm’s legal department. Company Overview:
Dialectic acts as an advisor to multiple (Cayman-based) liquid crypto funds specializing in onchain DeFi yield strategies, as well as venture activity focused on crypto/blockchain technologies.

The ideal candidate will support the daily operations and management of the firm’s legal department, provide strategic legal guidance in relevant areas and contribute to important legal functions such as the drafting of complex agreements, corporate/commercial matters and manage our relationship with relevant regulators such as FINMA and CIMA.

Key Responsibilities:

• Draft, review, and negotiate a wide array of complex legal agreements and corporate documentation.

• Advise on and independently execute corporate actions, including capital increases, share issuances, equity grants, and other equity-related matters.

• Provide strategic legal counsel on corporate governance, internal structuring, and general corporate law matters for both traditional and crypto-related entities.

• Ensure all corporate activities adhere to relevant Swiss and international (e.g. Cayman, BVI, etc.) regulations and best practices.

• Collaborate with internal teams (including product, finance, and operations) and external stakeholders to structure and manage complex transactions, particularly those involving digital assets and novel blockchain applications.

• Act as a primary point of contact for legal aspects of FINMA interactions and regulatory inquiries.

• Work with relevant 3rd party service providers (e.g. compliance, risk, etc.) to ensure the firm’s activities are compliant with FINMA’s requirements for collective investment schemes and digital asset operations.

• Stay current on legal developments in the crypto/blockchain/DeFi sector, including emerging legal frameworks, industry standards, and best practices related to contract drafting and corporate structuring.

• Contribute to the development and implementation of internal legal templates and processes to enhance efficiency and consistency in contract and corporate matters.

Key Requirements:

• 10+ years of experience in relevant legal roles.

• Law degree from a reputable institution.

• Demonstrated expertise in complex contract drafting, negotiation, and execution for both traditional and digital asset environments.

• Proven experience in corporate law, demonstrating that the candidate can independently execute corporate actions, including capital increases, share issuances, equity grants, share transfers, and other equity-related matters for various entities within the Dialectic group.

• Familiarity with international and cross-border corporate transactions.

• At least some relevant regulatory and compliance expertise, ideally in relation to FINMA requirements for crypto and digital assets in an asset-management context.

• Strong analytical, communication, and stakeholder management skills.

• At least some crypto-related experience as well as a strong passion for blockchain and crypto technologies, with conviction in their transformative potential.

• Demonstrated leadership ability with experience in people management, team development, and cross-functional stakeholder collaboration.

• Entrepreneurial mindset with the ability to think independently, adapt flexibly, and operate autonomously with precision and attention to detail.

• Demonstrated experience leveraging AI and automation tools to enhance efficiency, accuracy, and overall workflow quality.

• Integrity, humility, intellectual curiosity, honesty, and forthright communication; thrives in a dialectical, truth-seeking team culture.

• Ability to work independently and take responsibility for achieving the desired results while also contributing to the success of projects shared by the wider team.

• Fluent in English.

Nice-to-haves:

• Prior in-house or law firm experience advising crypto companies.

• Deep, crypto-native knowledge with hands-on experience using DeFi protocols, block explorers, wallets, and related tooling.

• Basic working proficiency in German.
