Job Description:
We are seeking a highly skilled and motivated corporate secretary to join our growing accounting team. This role is essential to maintaining the accounting integrity of our diverse portfolio, supporting strategic initiatives, and ensuring compliance across our real estate and hospitality operations.
Responsibilities:
Maintain accurate and complete corporate records for all Lotus entities, including formation documents, governing agreements, amendments, and resolutions.
Prepare, organize, and retain board and member materials, including meeting notices, agendas, minutes, written consents, and certifications.
Monitor and manage business licenses, entity registrations, renewals, and registered agent requirements across multiple jurisdictions.
Oversee timely filing of annual reports and statutory compliance documents with Secretaries of State and other regulatory bodies.
Oversee timely submittals of loan reporting and ongoing lender compliance.
Maintain accurate and complete executed loan documents, amendments, lender statements, interest invoices, lender communication, and information requests.
Support insurance renewals by maintaining accurate and complete insurance policy documents, tracking insurance renewal deadlines, and responding to information requests from insurance brokers.
Maintain a centralized entity compliance calendar and proactively track filing deadlines and renewal requirements.
Coordinate with legal counsel, registered agents, tax advisors, and compliance service providers to ensure ongoing compliance and timely payment of and entity cost allocation of invoices.
Support financings, restructurings, audits, and transactions by preparing governance documents and responding to due diligence requests.
Ensure ownership records, entity structures, and governance documentation align with accounting and financial records.
Identify, communicate, and escalate governance or compliance risks as appropriate.
Other duties as assigned.
Qualifications:
Strong organizational skills with the ability to manage multiple entities and deadlines simultaneously.
Excellent attention to detail and commitment to record accuracy and completeness.
Demonstrated ability to handle sensitive and confidential information with discretion.
Strong written and verbal communication skills.
Ability to work independently while collaborating closely with executive leadership and cross-functional teams.
Education & Experience:
Bachelor’s degree in business administration, legal studies, accounting, or a related field.
Minimum of 5 years of experience in corporate governance, entity compliance, legal administration, or a similar role.
Experience working in a multi-entity or real estate development environment preferred.
Paralegal certification or prior law firm experience is a plus.
Work Environment & Schedule:
This is a full-time, in-office position based on the 13th floor of our downtown Salt Lake City headquarters, with core hours Monday through Friday. Our office at Second + State offers expansive views of the city and surrounding mountains, access to a private balcony, and close proximity to a wide range of restaurants, cafés, and amenities within walking distance. The building also provides an on-site fitness facility and covered, year-round parking.
