Role Overview
We are hiring a highly skilled Corporate Counsel with at least 5 years of legal experience in a corporate/business setting, ideally in a fast-paced, multi-departmental environment. You will be the firm’s legal gatekeeper for corporate compliance, employment matters, legal documentation, and dispute resolution.
You will work cross-functionally with HR, Finance, Operations, and the Executive Team, offering timely legal advice, managing risk, and ensuring operational compliance with local labor and corporate laws.
Key Responsibilities
Draft, review, and negotiate all types of legal and commercial agreements (e.g., vendor, employment, NDA, partnership).
Lead the resolution of labor and employee disputes, including NLRC cases, preventive suspension issues, and due process requirements.
Maintain full corporate legal compliance with SEC, BIR, DOLE, and other government regulatory requirements.
Develop internal legal policies and protocols, ensuring business units remain compliant.
Guide HR in handling employee discipline, termination, and policy enforcement.
Respond to external legal claims or agency notices in coordination with retained external counsel when necessary.
Manage intellectual property, data privacy, and general risk exposure across departments.
Create legal templates and ensure standardization across documents and departments.
Serve as subject matter expert on Philippine corporate and employment law.
Qualifications
✅ Licensed Philippine Attorney (Bar passer – mandatory)
✅ Minimum 5 years of relevant experience as in-house counsel or corporate lawyer
✅ Deep understanding of:
Philippine Labor Code
Corporate compliance regulations (SEC, BIR, DTI)
Employment litigation and administrative proceedings (NLRC, DOLE)
Drafting commercial and employment contracts
✅ Familiarity with internal compliance programs and policy enforcement
✅ Experience working with HR and management teams on legal matters
✅ Excellent written and verbal English communication skills
✅ Strong organizational and documentation skills
