JOB OVERVIEW:
We are looking to hire a dedicated and experienced Corporate Administrator to join our growing Legal team in Limassol office!
The job role requires maintaining accurate and up-to-date corporate governance records for the organization, including board and committee minutes, resolutions, charters, bylaws and corporate filings. The successful candidate will also be responsible for supporting the Legal or Corporate Secretary's office, while ensuring compliance with corporate governance requirements, managing documentation for board and shareholder meetings and facilitating regulatory audits or corporate transactions.
JOB DESCRIPTION:
Maintain and organize all corporate governance records, including board and committee minutes, resolutions, consents, and meeting materials.
Ensure timely updates of corporate governance documents such as bylaws, charters, and governance policies.
Assist with the preparation, compilation, and distribution of materials for board of directors and committee meetings.
Coordinate signature pages and track approvals for board and shareholder resolutions.
Maintain minute books and electronic records for the parent company and subsidiaries.
Assist with preparing corporate filings (e.g., annual reports, statements of information) at federal, state, and international levels.
Support due diligence efforts for audits, financings, and M&A activities by organizing and retrieving governance documents.
Maintain accurate records in entity management systems.
Liaise with internal stakeholders and external advisors (e.g., outside counsel, auditors) to ensure compliance with legal and regulatory requirements.
Ensure secure storage and confidentiality of all governance documentation.
PERSON SPECIFICATION:
1-3 years hands-on experience as a Corporate Administration/ Corporate Governance/ Legal Support or a similar role is a must
Bachelor’s Degree preferred; paralegal certificate or equivalent experience is a plus
Familiarity with corporate governance practices, legal terminology, and compliance standards.
Strong organizational skills and keen attention to detail.
Excellent written and verbal communication skills.
Ability to work independently and manage multiple priorities in a fast-paced environment.
Ability to handle confidential and sensitive information.
