Position: Company Secretary

Department: Finance & Accounts

Qualification: Qualified and member of the Institute of Company Secretaries of India (ACS) . Degree in Business Law would be preferable but not must

Experience : 4 to 5 years

Working with a practicing Company Secretary. Private sector, Real Estate or from Infrastructure background

Location: Bangalore

Job Summary

Company secretary is responsible for ensuring that an organisation complies with standard financial and legal practice and maintains high standards of corporate governance.

A company secretary is a vital link between the company and its Board of Directors, shareholders, government and regulatory authorities and all other stakeholders.

He/She ensures that Board procedures are followed and regularly reviewed and provides guidance to Chairman and the management on their responsibilities under various laws.

The Position commands high position in the value chain and acts as a conscience keeper of the company. The Company Secretary will independently handle all company secretarial functions of the company.

Duties and Responsibilities:

• A Company Secretary being multidisciplinary will render the following services CORPORATE GOVERNANCE AND SECRETARIAL SERVICES
• Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines
• Assists in developing a corporate and social sustainability framework
• Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
• Handles the promotion, formation and incorporation of companies and matters related therewith
• Responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative
• Coordinate the board/general meetings and follow-up actions thereof
• Manages all tasks relating to Securities and their transfer and transmission
• Acts as the custodian of corporate records, statutory books and registers
• Manages the Secretarial/Compliance Audit
• Handling secretarial work related to private placement, CSR compliances, conducting board meetings and general meetings, Drafting and Preparation of Agenda, Notices, Minutes Books etc.
• Legal matters including overseeing the systems, legal and statutory requirements to be attended as and when required, preparing and vetting the agreements.
• Active role in finalization, Preparation and Maintenance of Statutory Registers, Various Forms and other documents as required under Companies Act.
• Preparation of Annual Report, Annual Returns, XBRL filings and other related documents.
• Working on various types of insurances
• Assisting in various contracts of the Company.
• Proper documentation and record keeping.
• Dealing with Banks to the extent of Loan documentation, LC, Bill discounting, Bank Guarantees etc.
• Experience of doing financial analysis for various business proposals
• Timely filing of annual returns, and all statutory forms.
• Responsible for follow up of legal cases
• Signing of Annual Return where necessary and responsible for other declarations, attestations and certifications under the Companies Act, 1956.

• Good knowledge and interpretation of various corporate laws especially Companies Act.
• Drafting and vetting of legal documents and agreements.
• Handling contracts

• Should be well versed with MS Word, Excel & Power point.
