We are seeking a detail-oriented and highly responsible professional to manage Company Secretarial and Corporate Legal functions, ensuring strong governance, regulatory compliance, and effective legal risk management. This role combines legal advisory, contract lifecycle management, and secretarial responsibilities to support smooth business operations and decision-making at the leadership level. The position requires someone who can maintain statutory compliance, oversee legal documentation, and act as a key liaison between the board, management, and external stakeholders while upholding the highest standards of integrity and professionalism.
Requirements:
Key Responsibilities
• Support board governance by organizing meetings, preparing agendas, recording minutes, and ensuring compliance with statutory requirements
• Act as a liaison between board members, management, and shareholders to facilitate effective communication
• Maintain statutory registers, filings, and corporate records in line with regulatory requirements
• Oversee end-to-end contract management including drafting, reviewing, negotiating, and executing agreements
• Provide legal advice on contracts, compliance, and risk management to ensure business alignment with applicable laws
• Manage legal disputes, coordinate with external counsel, and support litigation processes when required
• Ensure compliance with corporate laws, regulatory frameworks, and internal governance standards
• Maintain a centralized repository of legal documents, contracts, and litigation records
• Conduct legal research and draft responses, opinions, and documentation as needed
• Identify contractual and regulatory risks and develop mitigation strategies
• Collaborate with internal teams to resolve compliance issues and provide legal guidance across departments
