We are looking for an experienced and highly detail-oriented Head – Secretarial to lead and manage the organization’s corporate secretarial, governance, and compliance functions. This leadership role is responsible for ensuring seamless execution of board and shareholder-related activities while maintaining the highest standards of corporate governance and regulatory compliance.
The ideal candidate will play a critical role in managing secretarial operations, ensuring adherence to statutory requirements, and supporting the organization’s leadership in governance-related matters. This position requires strong expertise in corporate laws, compliance frameworks, board processes, and regulatory procedures, along with the ability to operate effectively in a large and dynamic business environment.
As a strategic governance leader, you will work closely with senior management, board members, legal teams, and regulatory authorities to ensure all secretarial and compliance matters are executed efficiently, accurately, and within regulatory timelines.
Requirements:
Key Responsibilities
• Lead and manage all corporate secretarial and governance-related activities across the organization.
• Ensure smooth conduct and coordination of Board Meetings, Committee Meetings, and Shareholders’ Meetings.
• Prepare agendas, notices, resolutions, minutes, and related statutory documentation with high accuracy.
• Ensure timely compliance with applicable corporate laws, regulations, filings, and governance requirements.
• Manage shareholder-related services, records, communication, and statutory registers.
• Monitor and ensure adherence to secretarial standards, corporate governance practices, and internal compliance frameworks.
• Liaise with regulatory authorities, auditors, legal advisors, and external stakeholders on compliance-related matters.
• Support senior leadership and board members on governance, compliance, and regulatory advisory matters.
• Ensure accurate maintenance of statutory records, disclosures, and corporate documentation.
• Drive improvements in governance processes, compliance systems, and reporting structures.
• Track changes in applicable laws and regulations and ensure timely implementation of required updates.
• Support due diligence, audits, corporate restructuring activities, and strategic business initiatives from a governance perspective.
• Maintain confidentiality, integrity, and professionalism in all board and governance matters.
