The Opportunity
We are seeking a dedicated and detail-oriented Company Secretarial Assistant to provide direct support to the Company Secretary of the Group and the broader Legal team in our fast-growing crypto fintech environment. You will play a vital supporting role in maintaining the highest standards of corporate governance, statutory compliance and records management across the RedotPay group of companies.
What We Are Looking For
We’re looking for a dependable professional to manage essential company secretarial tasks for our Hong Kong entity and assist with our international group companies. Main duties include but are not limited to:
Corporate Governance & Compliance: Assist in the full spectrum of company secretarial duties for the Group companies, including Hong Kong incorporated entities and offshore companies (particularly BVI and other jurisdictions). Ensure ongoing compliance with the Hong Kong Companies Ordinance, BVI legislation and other relevant local and international laws and regulations. Maintain, update, and manage statutory records and registers (including registers of members, directors, company secretaries, charges, significant controllers and any jurisdiction-specific registers).
Board & Shareholder Administration: Provide support in organizing Board meetings. Prepare agendas, draft board resolutions and supporting documents. Ensure all board decisions are properly documented. Attend meetings, take minutes and ensure accurate recordkeeping of all decisions.
Corporate Records Management: Assist in maintaining, securing and keeping up to date all corporate and statutory documents, including constitutional documents, meeting minutes, board resolutions and other corporate records. Ensure records are systematically archived and readily accessible to the Board, senior management, auditors and regulators. Proactively monitor and track key statutory deadlines across jurisdictions (e.g. annual returns, business registration renewals, economic substance filings, BVI annual filings, etc.).
Regulatory Filings, Execution & Verification: Support the preparation, verification, execution and timely filing of statutory and regulatory documents with relevant authorities in Hong Kong, BVI, and other jurisdictions.
General Administrative Support: Provide general administrative assistance to the Legal Department and the Company Secretary, including but not limited to preparing documentation for bank account openings, handling execution and filing of corporate documents and performing other ad hoc tasks assigned by management.
What You Need
To excel in this role, candidates should meet the following qualifications:
Degree holder in Corporate Governance, Business Administration, Accounting or a related discipline is preferred.
Student member or Graduate member of The Hong Kong Chartered Governance Institute (HKCGI)
Minimum 2 years of relevant company secretarial experience; experience in a sizable listed company, professional firm (e.g., law firm or CPA firm).
Solid knowledge of the Hong Kong Companies Ordinance, Companies Registry filing requirements and other applicable corporate regulations.
High integrity with the ability to handle and safeguard confidential and sensitive information.
Strong organizational skills, attention to detail, ability to work under pressure, and prioritize multiple tasks effectively.
Proficient in written and spoken English and Chinese.
Immediate availability preferred; passion for the fintech/crypto industry and ability to thrive in a fast-paced environment.
