The role:
We are a successful, innovative and team-oriented law firm seeking an experienced Corporate Associate for our downtown Toronto office. This role will have the opportunity to work with a collaborative team in Toronto, alongside our Calgary team. This is a unique opportunity to join an entrepreneurial focused firm that prioritizes professional autonomy, technical acumen and the unique ability to develop lasting relationships with our clients.
Linmac LLP is a boutique, entrepreneurial law firm focused on delivering strategic, business-oriented legal solutions to entrepreneurs, private companies, and high-net-worth clients. The Corporate Associate will play a key role in advising clients on corporate transactions, structuring, and ongoing business matters in a collaborative, client-focused environment.
Essential Responsibilities:
Draft, review and evaluate complex agreements, contracts and transaction documents.
Experience working with mid-market private companies, specifically within regulated industries and healthcare.
Assist with M&A, financings and private equity transactions.
Proven ability to support clients in business formation, growth and exit strategies.
Excellent research skills and precision in drafting.
Proven ability to provide high-quality client service and advice.
Collaborate with tax lawyers on tax-efficient corporate structures and transactions.
Experience building and maintaining strong relationships with entrepreneurs, business owners, and high-net-worth clients .
Participate in client development and networking initiatives.
Qualifications / Demonstrated Skills:
A minimum of 2-5 years of corporate transactional practice experience.
Excellent analytical, drafting and negotiations skills.
Collaborative mindset with an entrepreneurial approach.
Ability to work well under pressure, meet strict and sometimes competing deadlines.
Strong analytical and communication skills.
High level of professional judgement, discretion, and attention to detail.
